1. Agreement to Terms

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use. This license does not include any resale or commercial use of the Services or its contents.

4.3 User Content

By posting, uploading, or submitting any content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content in connection with the Services.

4.4 Trademarks

The Company name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without our prior written permission.

5. Disclaimer of Warranties

6.2 Liability Cap

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or 100 EUR, whichever is greater.

The Services may contain links to third-party websites or services that are not owned or controlled by Spotlight Stories. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

9. Termination

9.1 By You

You may terminate your account at any time by contacting us or through your account settings.

9.2 By Us

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

9.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Jurisdiction

10.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

10.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Czech Republic.

10.3 European Union Users

If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.

11. Dispute Resolution

11.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days.

11.2 Mediation

If the dispute cannot be resolved through negotiation, the parties agree to attempt to settle the dispute through mediation administered by a recognized mediation service in the Czech Republic.

11.3 Litigation

If mediation is unsuccessful, either party may pursue litigation in accordance with Section 10 of these Terms.

11.4 EU Online Dispute Resolution

The European Commission provides an online dispute resolution platform, which you can access at https://ec.europa.eu/consumers/odr/. We are willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Spotlight Stories regarding the use of the Services and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.

13.6 Language

These Terms may be translated into other languages. In the event of any conflict between the English version and a translated version, the English version shall prevail.
